Clé Noire does not receive any commission related to the purchase, does not intervene in the transaction, does not represent the seller or any intermediary, does not provide contractor quotations, and does not execute renovation or construction works. It acts exclusively in the purchaser’s interest and operates as a fully independent third party.

The assignment consists of a professional analysis carried out on elements that are visible and reasonably accessible at the time of the property visit, using non-destructive diagnostic tools and based on a cross-technical and regulatory assessment performed by experienced building professionals.
No destructive intervention, dismantling, opening of structural elements, invasive investigation, or concealed probing is performed.
The service does not constitute a judicial expert report, official certification, structural audit requiring the opening of walls or concealed components, destructive investigation, or guarantee of absence of defects.
Elements that are inaccessible, not visible, concealed, locked, obstructed, or requiring dismantling cannot be assessed.
The final decision to proceed with the purchase remains solely and exclusively the responsibility of the client.
The analysis is structured according to Clé Noire’s proprietary methodology, materialised through The Black File, which comprises twelve (12) major analytical categories and more than three hundred and fifty (350) professional control points.
The Black File is protected under copyright law, intellectual property law, database protection law, and applicable Belgian and European legislation.
Even when delivered to the client, The Black File remains the exclusive intellectual property of Clé Noire.
Any reproduction, duplication, distribution, partial extraction, commercial use, or unauthorised exploitation of The Black File or its methodology may give rise to legal proceedings and full compensation claims.
Booking is carried out exclusively through the mandatory pre-analysis questionnaire, automatic classification, dynamic pricing mechanism, and secure online payment system. Validation of the booking and payment implies full, unconditional, and irrevocable acceptance of these Terms and Conditions. No preliminary analysis, informal advice, or personalised opinion is provided prior to booking validation and payment. No intervention is scheduled without full prior payment.
The client declares that all information provided in the mandatory pre-booking questionnaire is accurate, complete, and truthful.
In the event of a significant and objectively verifiable discrepancy between the information provided and the actual situation observed during the property visit, likely to affect the property classification, mission complexity, or applicable fee, Clé Noire reserves the right, at its sole discretion, to suspend the assignment, require a supplementary fee prior to continuing the intervention, or refuse to carry out the analysis.
Any supplementary fee must be paid prior to continuation of the assignment.
In the absence of payment of the requested supplement within the communicated timeframe, the assignment shall be deemed cancelled by the client and all amounts already paid shall remain definitively acquired by Clé Noire and non-refundable.
Where the information provided by the client results in a classification or fee higher than the reality observed during the visit, no refund or fee adjustment may be claimed.
As pricing is based on the client’s declarations, the client assumes full responsibility for them.
Accepted cards include Visa and Mastercard.
American Express may be available depending on payment processor configuration.
No instalment payments are provided.
The amounts paid cover exclusively the defined assignment and no additional services unless expressly agreed.
Amounts received remain definitively acquired by Clé Noire if the service has been performed in accordance with these Terms and Conditions, in the event of cancellation or withdrawal less than twenty-four (24) hours before the scheduled visit, or in the event of total or partial impossibility of performance attributable to the client or any person upon whom the client depends for property access.
The following situations are considered attributable to the client, including but not limited to absence of the client, absence of the seller or their representative, absence of any person authorised to provide full access, failure to effectively organise the appointment, partial or restricted access, or insufficient visit duration compared to requirements previously communicated by Clé Noire.
The client is solely responsible for ensuring full, effective, and safe access to the property.
In case of impossibility of performance under such conditions, the service shall be deemed performed.
The client is solely responsible for organising the appointment with the seller or their legal representative and must ensure full access to the property at the agreed date and time.
The minimum required visit duration is between one (1) hour and one (1) hour thirty (30) minutes for properties under 100 m², a minimum of two (2) hours for properties of 100 m² or more, and an adapted duration for properties exceeding 250 m², which shall be communicated in advance in writing by email.
The visit duration must allow for a complete and professional analysis.
Any insufficient duration engages the exclusive responsibility of the client.
The Black File is delivered within an indicative timeframe of three (3) to five (5) business days following the property visit. This timeframe allows for complete, integrated, and professional analysis of the information collected. Clé Noire may adjust this timeframe depending on the complexity of the property.
The Black File is delivered by default in secure digital format. A premium physical edition may be ordered at the time of booking or after receipt of the digital version and is subject to a fixed supplementary fee of sixty-five euros (€65).
Priority processing may be requested by the client. This option allows expedited delivery of The Black File.
The applicable supplement is determined according to the complexity of the property and the requested delivery timeframe.
The amount of the supplement is communicated in advance and must be expressly validated prior to implementation.
No priority processing is initiated without prior confirmation and payment of the applicable supplement.
Clé Noire reserves the right to accept or refuse such request depending on operational availability.
The inspection performed by Clé Noire is strictly visual and non-invasive. The mission does not include destructive testing, dismantling of installations or structural elements, opening of panels, walls, ceilings, floors or enclosures, removal or displacement of fixed or movable furniture, testing of technical systems under load, activation or calibration of installations, or specialised laboratory analysis requiring dedicated equipment. Only areas that are visible and reasonably accessible at the time of the visit are examined.
The Black File reflects exclusively the apparent condition of the property at the date and time of the visit. The client expressly acknowledges that the analysis is based solely on visible and reasonably accessible elements at the time of inspection, without dismantling or invasive testing. Certain structural elements, concealed components, embedded systems, hidden defects or latent conditions may not be detectable during the visit. The absence of observed defects does not exclude the possibility of hidden defects. Any deterioration, modification, structural evolution, intervention, damage, regulatory change, or event occurring after the visit falls outside the scope of the assignment. The Black File does not constitute a guarantee of the future condition of the property.
Clé Noire is bound by an obligation of means and not by an obligation of result.
The assignment consists of providing an independent professional analysis carried out diligently, in good faith, and according to generally accepted professional standards.
No specific financial outcome, negotiation result, regulatory approval, structural stability over time, or absence of future defects is guaranteed.
16. No Verification of Administrative or Regulatory Documentation Clé Noire does not verify, audit, or guarantee the existence, validity, completeness, or accuracy of any administrative, legal, or regulatory documentation relating to the property, including but not limited to urban planning permits, heritage classification, protected façade status, zoning compliance, or any official authorisation. Any reference to regulatory or planning context, where applicable, is provided solely on an indicative basis and may rely on information made available at the time of the visit without independent verification. The verification of such elements remains exclusively the responsibility of the client and must be carried out through the competent authorities, notaries, architects, or specialised advisors.
In all circumstances, the total liability of Clé Noire shall be strictly limited to the amount paid by the client for the assignment. Clé Noire shall not be liable for any indirect, incidental, consequential, special, immaterial, or economic damages, including but not limited to loss of profit, loss of opportunity, loss of expected gain, diminution of property value, financing consequences, negotiation outcomes, business interruption, reputational impact, or third-party claims arising from the client’s decisions. The Black File is strictly personal to the client and may not create rights, reliance, or claims for the benefit of any third party. Clé Noire assumes no joint or solidary liability with any other professional, contractor, advisor, seller, agent, architect, engineer, financial institution, or intermediary involved in the transaction.
The booking, the assignment, and The Black File are strictly personal and non-transferable. No assignment, transfer, sublicensing, resale, or delegation of rights is permitted without prior written consent from Clé Noire.
The Black File and its content, structure, analytical framework, scoring logic, and conclusions are confidential.
The client undertakes not to disclose, publish, reproduce, distribute, or make publicly available The Black File or any part thereof without prior written consent, except where disclosure is strictly necessary for personal acquisition purposes such as communication with legal advisors, notaries, financial institutions, or insurers.
Public dissemination, including online publication or media transmission, is strictly prohibited without prior written authorisation.
This confidentiality obligation survives completion of the mission.
Within the framework of the assignment, Clé Noire is authorised to take photographs of the visited property.
These photographs may be used for professional analysis purposes and for communication, marketing, methodological illustration, or reference presentation purposes.
The client may object in writing within twenty-four (24) hours following booking validation and payment.
In the absence of written objection within this period, consent shall be deemed granted, without prejudice to applicable data protection rights.
Clé Noire undertakes not to disclose the exact address of the property, not to identify the client or occupants, not to publish personal data, and not to photograph persons, faces, private documents, or elements strictly belonging to the private sphere of the occupants.
Clé Noire reserves the right to interrupt, suspend, or refuse execution of the visit if safety conditions are not adequate.
Where such interruption results from conditions attributable to the client, the seller, or any access provider, the assignment shall be deemed performed and no refund shall be due.
Any audio, video, photographic, or digital recording of the visit by the client, the seller, or any third party is prohibited without prior written consent from Clé Noire.
All payments made for the assignment are definitive and non-refundable. Any abusive, unjustified, or fraudulent chargeback or payment dispute initiated after execution of the service may give rise to recovery proceedings and additional costs.
Any claim relating to the assignment must be notified in writing within thirty (30) days of the client becoming aware of the alleged issue. The client undertakes to cooperate in good faith with Clé Noire and its professional liability insurer.
Clé Noire shall not be held liable for delay, suspension, or non-performance resulting from force majeure or any event beyond its reasonable control. The intervention may be rescheduled without liability or compensation.
Collected data is used exclusively for execution of the assignment and compliance with legal, accounting, insurance, and professional obligations. Documents, reports, photographs, questionnaire submissions, communications, and administrative records related to the assignment may be retained for up to ten (10) years in accordance with applicable limitation periods and insurance requirements. No resale of personal data occurs.
Clé Noire is covered by professional civil liability insurance in accordance with applicable Belgian regulations.
These Terms and Conditions are governed by Belgian law.
Any dispute arising from the assignment shall fall under the exclusive jurisdiction of the courts of the judicial district of Liège.
If any provision of these Terms is declared invalid or unenforceable, the remaining provisions shall remain fully valid and enforceable.

Clé Noire can intervene at different moments of the process. Some buyers request our presence during the first visit. Others contact us after their own visit, once they feel strong interest in the property. Both approaches are perfectly valid. However, when a property attracts strong demand and multiple buyers, requesting the Property X-Ray during the first visit can be advantageous. The essential point is simple: Clé Noire must intervene before the purchase becomes irreversible.
